Data Loss and Interruption of Service
“Twilight I.T. LLC makes every effort to ensure the integrity and security of customer data and uninterrupted service. However, we do not guarantee against data loss or the uninterrupted availability of our services. Customers are advised to regularly back up their data to prevent any loss.”
Copyright Infringement
“Twilight I.T. LLC is not responsible for any copyright infringement caused by the content hosted on customer websites. It is the responsibility of customers to ensure that they have the necessary rights and permissions for all content hosted on our servers.”
2. Microsoft 365 Licensing Terms
Duration and Cancellation
“All Microsoft 365 licensing provided by Twilight I.T. LLC is on a 1-year contract basis. Customers are eligible to cancel their licenses only during a 7-day window around the renewal date. No cancellations are accepted outside this timeframe.”
3. Right to Cancel Services
“Twilight I.T. LLC reserves the right to cancel any services provided to customers with a 30-day written notice. This notice will be sent to the customer’s registered email address or mailing address on file.”
4. Dispute Resolution and Jurisdiction
“Any disputes arising from or relating to the services provided by Twilight I.T. LLC must first be attempted to be resolved through arbitration. The arbitration process will be conducted in accordance with the rules of the American Arbitration Association. All disputes are subject to the jurisdiction of the state of Idaho, regardless of the customer’s residence or location.”
5. Indemnity and Hold Harmless
“Customers agree to indemnify, defend, and hold harmless Twilight I.T. LLC, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney’s fees and costs) arising out of or in any way connected with:
- The customer’s use of Twilight I.T. LLC’s services.
- Any violation of these Terms and Conditions by the customer.
- Any content or data hosted on the customer’s website.
- Any breach of third-party rights, including but not limited to, any intellectual property rights, privacy rights, or other proprietary rights.
Twilight I.T. LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the customer, in which event the customer will fully cooperate with Twilight I.T. LLC in asserting any available defenses.”
